Terms of Service

1. Acceptance of these Terms

These Terms of Service (the “Terms”) form a binding agreement between you and Lokd Technologies Ltd., a corporation registered in Nova Scotia, Canada (“Saidee”, “we”, “us”, “our”), governing your access to and use of the Saidee mobile application, the website saidee.ai, and our backend services (collectively, the “Service”).

By creating an account, installing the mobile app, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least seventeen (17) years old to use the Service. By using Saidee you represent that you are at least 17, that you have the legal capacity to enter into these Terms, and that, if you are using Saidee on behalf of a business or other entity, you have authority to bind that entity to these Terms.

3. What the Service does

Saidee is an AI-powered scheduling assistant for solo professionals and small teams. The Service reads your calendar, exchanges SMS with your clients on your behalf, and (on eligible plans) answers inbound voice calls using an AI voice assistant. Specific features depend on your subscription plan as described on saidee.ai/pricing.

We may modify, suspend, or discontinue any feature at any time, with reasonable notice for material changes that affect your paid plan.

4. Account and security

  • You are responsible for the accuracy of the information you provide and for keeping your login credentials secure.
  • You are responsible for all activity that occurs under your account, including activity by team members you invite.
  • You must notify us promptly at support@saidee.ai if you suspect unauthorized access to your account.
  • One person or business per account. Do not share login credentials.

5. Subscriptions, billing, and auto-renewal

5.1 Plans and pricing

Saidee offers free and paid subscription plans. Paid plans are listed at saidee.ai/pricing. Prices are in Canadian dollars unless otherwise indicated and exclude applicable taxes.

5.2 In-app subscriptions (iOS)

Subscriptions purchased inside the iOS app are sold and billed by Apple and are subject to the Apple Media Services Terms. Your Apple ID will be charged for renewal within 24 hours prior to the end of the current period at the price listed. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage and cancel your subscription at any time in your iOS device under Settings → Apple ID → Subscriptions.

5.3 Web subscriptions (Team plan)

The Team plan is sold through our website and billed by Stripe. By subscribing you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel. You can cancel, update payment details, and view invoices at any time at saidee.ai/account.

5.4 California subscribers (Automatic Renewal Law)

For subscribers located in California, this section is intended to comply with Cal. Bus. & Prof. Code § 17600 et seq. (the “ARL”). Your subscription automatically renews on the cadence shown at checkout (monthly or annual) at the price shown at checkout. You may cancel at any time, effective at the end of the then-current billing period, through the same medium you used to subscribe: iOS subscribers via Settings → Apple ID → Subscriptions on their device; web subscribers at saidee.ai/account.

At checkout we present the auto-renewal terms (billing cadence, amount, renewal date, and cancellation method) in a clear and conspicuous notice. By tapping the subscribe button you provide your express affirmative consent to those terms. For iOS subscriptions, Apple sends an automatic receipt to the email address on your Apple ID containing the price and renewal information; for Team-plan web subscriptions, Stripe sends an automatic receipt to the email address you provide at checkout. We will also send an annual reminder of your subscription and the cancellation method to the email address associated with your account, as required by the ARL.

5.5 Free trials

If we offer a free trial, the duration and terms will be disclosed at sign-up. Unless you cancel before the trial ends, the trial will automatically convert to a paid subscription at the price disclosed at sign-up. We may modify or terminate free trial offers at any time, on a prospective basis, without affecting any trial already started.

5.6 Fee changes

We may change subscription fees from time to time. Any fee change will take effect at the start of the next billing cycle following reasonable prior notice (at least 30 days’ notice for material increases). Continued use after a fee change takes effect constitutes acceptance of the new fee.

5.7 Refunds

Except where required by applicable law, subscription fees are non-refundable. Refund requests for purchases made through the Apple App Store must be directed to Apple in accordance with Apple’s refund policy.

If you are a Quebec consumer, you may have additional cancellation and refund rights under sections 54.1 to 54.16 and 230 of the Quebec Consumer Protection Act (CQLR c. P-40.1), including the right to cancel a distance contract in certain circumstances. Nothing in this section limits those rights.

6. Your content and the license you grant us

Your Content” includes any text, voice transcripts, customer contact information, calendar data, photos, or other material that you (or your team members or customers) submit to or through the Service.

You retain ownership of Your Content. You grant Saidee a limited, worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, and create derivative works of Your Content solely as necessary to operate, secure, and improve the Service and to provide it to you.

We do not use Your Content to train AI models. We do not sell or rent Your Content, and we do not share Your Content with third parties except as described in our Privacy Policy.

You represent that you have all rights necessary to grant this licence and that Your Content does not violate any law or any third party’s rights (including intellectual-property, privacy, and publicity rights). You are solely responsible for Your Content and for ensuring that any client whose information you provide to Saidee has consented, where required, to having their information processed by Saidee on your behalf.

7. AI features and limitations

7.1 AI may make mistakes

Saidee uses artificial intelligence to interpret messages, draft replies, schedule appointments, summarize calls, classify intent, and detect spam. AI output is automated and may be incorrect, incomplete, or misleading. You are responsible for reviewing AI output before acting on it and for the actions Saidee takes on your behalf. You can review every action Saidee has taken in your account, override any decision, and pause Saidee at any time so that no automated actions are taken on your behalf.

7.2 Third-party AI processor (Anthropic)

Saidee uses Anthropic’s Claude language model to process your messages, calendar context, and call transcripts on a data-processor basis. Before any of your personal data is sent to Anthropic, we ask you to consent on a dedicated in-app screen that names Anthropic explicitly. You may withdraw consent at any time by deleting your account or by contacting support@saidee.ai. See our Privacy Policy for the full list of sub-processors.

7.3 Voice AI — your responsibility to inform callers

On eligible plans, Saidee answers inbound voice calls using an AI assistant and generates a transcript and summary of the call. Saidee does not record or store call audio. Audio is transcribed in real time and only the resulting text transcript and AI-generated summary are stored in your account.

The AI assistant announces itself at the start of each call. Local laws (including, in the United States, federal and state two-party consent statutes) may require additional notice to callers that an AI is answering and that the call may be recorded or transcribed. You are responsible for providing any such additional notice as required by the law of your jurisdiction and the jurisdictions of your callers. When you provision a Voice AI number, you affirm that you will provide such notice as required.

8. Acceptable use

You agree that you will not, and will not permit anyone else to:

  • Use the Service in violation of any applicable law or regulation, including anti-spam, telemarketing, do-not-call, two-party-consent, consumer-protection, or export-control laws.
  • Use the Service to harass, threaten, defame, or otherwise harm any person.
  • Use the Service to send unsolicited commercial messages (spam), chain letters, or bulk messages without proper consent.
  • Upload or transmit content that infringes any third party’s intellectual-property, privacy, or publicity rights.
  • Upload or transmit malicious code (viruses, worms, trojans, ransomware, or similar).
  • Impersonate any person or business, or misrepresent your affiliation with any person or business.
  • Attempt to gain unauthorized access to the Service, other users’ accounts, or our backend systems.
  • Reverse engineer, decompile, scrape, or extract data from the Service, except as permitted by mandatory applicable law.
  • Use the Service to build a competing product, or to benchmark for the purpose of building a competing product.
  • Use the Service in a way that interferes with its operation or degrades it for other users.

We may, but are not obligated to, monitor use of the Service for compliance with these Terms and may remove content or suspend accounts that we reasonably believe violate them.

9. Communications from Saidee

By creating an account, you consent to receive transactional communications from us (such as verification codes, billing receipts, security alerts, account-deletion confirmations, and service-status notices). These messages are necessary to provide the Service and you cannot opt out of them while your account is active.

We may also send marketing or promotional messages. Every marketing message we send will (a) identify Saidee as the sender (and, where applicable, the Saidee customer on whose behalf the message is sent), (b) include our physical mailing address, and (c) include a working unsubscribe mechanism. You can opt out of marketing messages at any time by following the unsubscribe link in any such email, by replying STOP to any SMS, or by emailing support@saidee.ai. We will honour unsubscribe requests within ten (10) business days, as required by Canada’s Anti-Spam Legislation (s. 11 of CASL) and the U.S. CAN-SPAM Act (15 U.S.C. § 7704(a)(4)).

10. Copyright policy (DMCA)

Saidee respects the intellectual-property rights of others and expects users to do the same. We comply with the United States Digital Millennium Copyright Act (the “DMCA”) and have a corresponding policy for material that infringes copyrights under the laws of Canada and other jurisdictions.

10.1 Designated Agent

We have designated an agent with the U.S. Copyright Office to receive notifications of claimed copyright infringement (Registration Number DMCA-1073170). The contact information of our Designated Agent is:

10.2 How to submit a notice of copyright infringement

If you believe that material accessible on or through the Service infringes your copyright, please send a written notice to our Designated Agent above that contains all of the following, as required by 17 U.S.C. § 512(c)(3):

  1. A physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf.
  2. Identification of the copyrighted work claimed to have been infringed.
  3. Identification of the material that is claimed to be infringing, with information reasonably sufficient to permit us to locate it (for example, a message ID, a user ID, or a description).
  4. Your contact information, including your address, telephone number, and email.
  5. A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
  6. A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

Knowingly submitting a misrepresentation in a notice of infringement may result in liability for damages, including costs and attorneys’ fees, under 17 U.S.C. § 512(f).

10.3 Counter-notice

If you believe that material of yours was removed or disabled by mistake or misidentification, you may submit a counter-notice to our Designated Agent that contains the elements required by 17 U.S.C. § 512(g)(3). On receipt of a valid counter-notice, we will forward it to the original complainant and may restore the removed material in ten (10) to fourteen (14) business days unless the complainant notifies us that they have filed a court action seeking to restrain the activity.

10.4 Repeat infringers

We will terminate, in appropriate circumstances, the accounts of users who are determined to be repeat infringers. In general, three (3) substantiated notices of infringement against an account within any rolling twelve-month period will result in termination of that account. We may also terminate accounts after fewer notices where the circumstances warrant.

11. Suspension and termination

You may stop using the Service and close your account at any time from inside the Saidee mobile app (Settings → Delete Account) or by emailing support@saidee.ai.

We may suspend or terminate your access to the Service, with or without notice, if (a) you materially breach these Terms; (b) we reasonably suspect fraudulent, abusive, or illegal activity on your account; (c) continuing to provide the Service to you would create a security, legal, or regulatory risk for us or for other users; or (d) we are required to do so by law.

Sections that by their nature should survive termination — including Sections 6 (Your Content), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15 (Governing Law), 16 (Disputes), 18 (Our intellectual property), 19 (Feedback), and 21 (Miscellaneous) — will survive any termination of these Terms.

12. Disclaimers

The following section is in capitalized text because applicable consumer-protection laws require disclaimers of warranties to be conspicuous.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAIDEE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR THAT SCHEDULING, MESSAGING, OR VOICE FEATURES WILL ALWAYS BE AVAILABLE OR FUNCTION AS EXPECTED.

Nothing in these Terms limits any warranty or other right that cannot be excluded or limited under the law of your jurisdiction. If you are a consumer in Quebec, you have rights under the Quebec Consumer Protection Act that cannot be waived by contract.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SAIDEE (OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS) BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SAIDEE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Where they do not apply, our liability is limited to the minimum permitted by law.

Nothing in this Section excludes or limits Saidee’s liability for fraud, fraudulent misrepresentation, gross negligence, wilful misconduct, bodily injury, or any liability that cannot be excluded under applicable law (including, for Quebec consumers, under sections 10 and 261 of the Quebec Consumer Protection Act).

14. Indemnification

You will defend, indemnify, and hold harmless Saidee and its officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to (a) Your Content; (b) your use of the Service in violation of these Terms or applicable law; (c) your failure to provide any caller, customer, or contact with the notice or consent required by applicable law; (d) your violation of any third party’s rights; or (e) any dispute between you and a customer, contact, or team member. We will give you reasonable notice of any such claim and reasonable cooperation in its defence at your expense. You may not settle any claim that admits fault on our behalf or imposes any obligation on us without our prior written consent. This indemnity does not apply to claims arising from Saidee’s own gross negligence, wilful misconduct, or fraud.

15. Governing law

These Terms and any dispute arising out of or related to them or to the Service are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Disputes

Before filing any claim, you agree to first contact us at support@saidee.ai and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Subject to mandatory consumer-protection rights in your jurisdiction, you and Saidee agree that the courts located in Halifax, Nova Scotia have exclusive jurisdiction and venue over any dispute arising out of or related to these Terms or the Service, and you and Saidee consent to personal jurisdiction in those courts.

Quebec consumers. Nothing in this Section limits the right of a Quebec consumer to bring or join a class action, or to bring proceedings in Quebec, under sections 11.1 and 19 of the Quebec Consumer Protection Act (CQLR c. P-40.1). Nothing in this Section limits any consumer’s right to bring a small-claims action in the court of their own province or state of residence.

17. Third-party services

The Service integrates with third-party services (including, without limitation, Apple, Google, Telnyx, Anthropic, OpenAI, Supabase, Stripe, RevenueCat, Blooio, Zoom, and Upstash). Those services are governed by their own terms and privacy policies. The complete and current list of sub-processors is kept in our Privacy Policy. We are not responsible for the acts or omissions of any third-party service provider, except as expressly stated in our Privacy Policy or in our agreement with that provider.

18. Our intellectual property

The Service, the Saidee name and logo, and all software, documentation, designs, content, and other materials we provide (excluding Your Content) are owned by Saidee or our licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. No other right or licence is granted by implication or otherwise.

19. Feedback

If you send us comments, suggestions, or feature requests (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use the Feedback for any purpose, including improving the Service. We will treat Feedback as non-confidential.

20. Changes to these Terms

We may change these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, give you reasonable advance notice (for example, by email or in-app notice) before the change takes effect. Your continued use of the Service after the change takes effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Service and close your account.

21. Miscellaneous

  • Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Saidee regarding the Service and supersede any prior or contemporaneous agreements on that subject.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets.
  • No agency. Nothing in these Terms creates any agency, partnership, employment, or joint-venture relationship between you and Saidee.
  • Force majeure. Neither party is liable for failure or delay in performance caused by events outside its reasonable control.
  • Language / Langue. A French-language version of these Terms is or will be made available at saidee.ai/fr/conditions. To the extent permitted by applicable law, the parties have expressly agreed that these Terms and all related documents be drawn up in English. Une version française des présentes conditions est ou sera disponible à saidee.ai/fr/conditions. Dans la mesure permise par la loi applicable, les parties ont expressément convenu que les présentes conditions et tous les documents s’y rapportant soient rédigés en anglais. This clause is intended to comply with section 55 of the Charter of the French Language (Quebec); if a French version is not yet available at the time you accept these Terms and you are a Quebec consumer, you may contact support@saidee.ai to request a French translation before being bound.

22. Acknowledgements regarding the Apple App Store

The following provisions apply only to your use of the Saidee mobile app obtained from the Apple App Store, and are required by Apple Inc. as a condition of distributing the Saidee app:

  • These Terms are between you and Lokd Technologies Ltd. only, and not with Apple. Apple is not responsible for the Saidee app or its content.
  • The Saidee app is licensed, not sold, to you on a limited, non-transferable basis, in accordance with Apple’s Usage Rules in the Apple Media Services Terms.
  • Apple has no obligation whatsoever to provide any maintenance or support services with respect to the Saidee app.
  • If the Saidee app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Saidee app to you (if any). To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the Saidee app.
  • Lokd Technologies Ltd. (not Apple) is responsible for addressing any claims by you or any third party relating to the Saidee app or your possession or use of it, including product-liability claims, claims that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar legislation.
  • In the event of any third-party claim that the Saidee app or your possession and use of it infringes that third party’s intellectual-property rights, Lokd Technologies Ltd. (not Apple) is solely responsible for the investigation, defence, settlement, and discharge of any such claim.
  • You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist-supporting” country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple has the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary, as it relates to your use of the Saidee app.
